NHC Foods to acquire controlling stakes in Lotmor Brands, Walya's Beverages

NHC Foods has approved investments to acquire controlling stakes in two food and beverage companies, Lotmor Brands and Walya's Beverages. Under the proposed transactions, the company will acquire up to 88% stake in Lotmor Brands and up to 80% stake in Walya's Beverages. The consideration may be paid in cash or through issue of NHC Foods equity shares at Rs 6.50 per share. The price may also be determined after six months in accordance with the SEBI ICDR Regulations. The proposed acquisitions are expected to strengthen the company's procurement and distribution capabilities and complement its existing business across the food and beverage value chain. 

Lotmor Brands brings an established food and beverage business with capabilities across trading and manufacturing. Incorporated in 2018, the company recorded turnover of Rs 2.46 crore in FY23 and Rs 2.60 crore in FY24, while turnover stood at Rs 1.80 crore in FY25. With its established operations and positive cash flows, Lotmor can add complementary capabilities to NHC Foods' business while providing a platform for further expansion.

The second proposed acquisition, Walya's Beverages, adds another food and beverage business to NHC Foods' expansion plans. Incorporated in 2021, Walya's is engaged in manufacturing, trading, wholesaling, import and export of food and beverage products. After reporting no turnover in FY23, the company recorded turnover of Rs 0.71 crore in FY24 and Rs 0.22 crore in FY25. Its presence across the food and beverage segment can further broaden NHC Foods' product and market reach.
