H.G. Infra Engineering divests 49% stake in H.G. Raipur Visakhapatnam OD-5 to NIIOF

H.G. Infra Engineering has transferred a 49% of its stake held in H.G. Raipur Visakhapatnam OD-5, a Wholly owned Subsidiary (SPV) of the company to Neo Infra Income Opportunities Fund (NIIOF). The transfer of remaining 51% stake will be done in accordance with the terms and conditions of transaction documents. Pursuant to the said transfer of stake, the aforesaid entity ceases to be wholly owned subsidiary of the company. However, it continues to be a subsidiary of the company.

The above transfer is part of the Securities Purchase Agreement (SPA) executed on December 18, 2025, between H.G. Infra Engineering and NIIOF for the sale of the company's entire 100% shareholding in H.G. Raipur Visakhapatnam OD-5 to NIIOF. 

The total transaction consideration is Rs 377.40 crore. The company has received the first tranche amounting to Rs 121.80 crore on June 05, 2026, against transfer of 49% stake and second tranche will be received on or before September 30, 2026, upon completion of the sale of balance 51% stake.

H.G. Infra Engineering is an infrastructure construction, development and management company with extensive experience in its focus area of road projects, including highways, bridges and flyovers.
